Savant Subscription Terms

1. Introduction and Acceptance

These Savant Subscription Terms ("Subscription Terms") govern your purchase and use of any subscription-based products, features, services, or functionality that Savant Systems, Inc. or its affiliates ("Savant," "we," "our," or "us") make available for purchase (collectively, the "Subscription Service").

These Subscription Terms are a legally binding agreement between you and Savant.

By purchasing, activating, renewing, or using a Subscription Service, you agree to be bound by these Subscription Terms.

Your use of the Subscription Service is also governed by the following documents, each of which is incorporated into these Subscription Terms by reference:

• Savant Privacy Policy, available at https://savant.com/privacy-policy/

If there is a conflict between these Subscription Terms and the Terms of Service, these Subscription Terms control solely with respect to the purchase, billing, renewal, modification, cancellation, suspension, termination, and other commercial terms of the Subscription Service. In all other respects, the Terms of Service govern your use of Savant products and services.

If you do not agree to these Subscription Terms, you may not purchase or use a Subscription Service.

You represent that you are at least the age of majority in your state or jurisdiction of residence and have the legal authority to enter into this agreement. If you purchase, activate, or manage a Subscription Service on behalf of another individual or legal entity, you represent that you have authority to act on that person’s or entity’s behalf.

2. Subscription Plans

Savant offers a variety of subscription-based products, features, services, and functionality (each, a "Subscription Service"). Subscription Services may include cloud-based features, remote access capabilities, video or data storage, monitoring, premium functionality, software features, or other services that enhance compatible Savant products or applications.

The Subscription Services available to you may vary based on your Savant products, account, geographic location, or other factors. Not all Subscription Services or features are available for all products or in all locations. Availability of Subscription Services may change over time.

Savant may offer Subscription Services on a prepaid, non-renewing basis or on an automatically renewing basis, as disclosed at the time of purchase.

• Prepaid One-Year Subscriptions. Unless otherwise specified at the time of purchase, a prepaid one-year Subscription Service begins when it is activated for the applicable Savant system and continues for one year. Prepaid Subscription Services do not automatically renew. Savant may permit multiple prepaid one-year Subscription Services to be purchased and applied to the same Savant system. If permitted, up to five prepaid one-year Subscription Services may be applied at one time, resulting in a total prepaid subscription period of up to five years.
• Automatically Renewing Subscriptions. Automatically renewing Subscription Services begin on the date of purchase unless otherwise disclosed at the time of purchase and automatically renew in accordance with these Subscription Terms until canceled.

Your Subscription Service provides you with a limited, personal, non-exclusive, non-transferable, and revocable right to access and use the applicable Subscription Service during your active subscription term, subject to these Subscription Terms and the Terms of Service. A Subscription Service is licensed, not sold, and does not give you any ownership interest in the Subscription Service or any related software, technology, or intellectual property.

Savant may introduce new Subscription Services, modify existing Subscription Services, discontinue Subscription Services, or replace one subscription plan with another from time to time. If Savant discontinues or materially changes a Subscription Service that you are actively using, Savant will provide any notice required by applicable law and, where appropriate, explain your available options, which may include continuing under a successor plan, changing your subscription, or canceling your Subscription Service. Any discontinuation of a prepaid Subscription Service will also be subject to Section 7 below.

Unless expressly stated otherwise, Subscription Services are intended solely for your personal, household use in connection with compatible Savant products and may not be resold, sublicensed, or used for commercial service bureau or managed service purposes.

3. Purchasing a Subscription

You may purchase a Subscription Service only through purchasing methods authorized by Savant. Subscription Services may be offered through Savant, an authorized third-party payment processor, an authorized application marketplace, or another sales channel designated by Savant.

To purchase a Subscription Service, you must provide complete, current, and accurate account and payment information and keep that information updated as necessary to complete your transactions and maintain your Subscription Service.

By purchasing a Subscription Service, you authorize Savant and its authorized payment processors to charge the payment method you designate for all applicable subscription fees, taxes, and other amounts due in accordance with these Subscription Terms. Additional terms and conditions imposed by your payment processor or application marketplace may also apply to your purchase.

You authorize Savant and its authorized payment processors to verify your payment method, place temporary authorization holds where reasonably necessary to process your transaction, and correct billing errors or mistakes, even if payment has already been requested or received.

You are responsible for ensuring that you have the legal authority to use the payment method associated with your purchase. You are also responsible for any overdraft, insufficient funds, declined payment, or similar fees charged by your financial institution or payment provider in connection with your Subscription Service.

If Savant is unable to successfully process a payment, Savant or its authorized payment processors may make additional attempts to collect amounts due using your designated payment method or any updated payment information made available by your financial institution or payment network, where permitted by applicable law. If payment remains unsuccessful, Savant may suspend or terminate your Subscription Service in accordance with these Subscription Terms.

Your purchase of a Subscription Service is subject to Savant's acceptance. Savant reserves the right to refuse or cancel a purchase if it reasonably believes the transaction is fraudulent, unauthorized, unlawful, violates these Subscription Terms or the Terms of Service, or presents an unreasonable risk to Savant or its customers. If Savant cancels a purchase after charging your payment method, Savant will refund any amounts paid for the canceled purchase unless prohibited by law or the cancellation resulted from fraud or other unlawful conduct.

Unless expressly stated otherwise, a Subscription Service is associated with the Savant customer account for which it is purchased or activated, regardless of whether the Subscription Service is purchased directly by you or purchased, activated, or provisioned on your behalf by an Authorized Integrator. An Authorized Integrator’s purchase, activation, provisioning, management, removal, or replacement does not give the Authorized Integrator any ownership interest in or right to control your Subscription Service.

Subscription Services are not transferable between customer accounts except as expressly authorized by Savant. If you sell or otherwise transfer ownership of the residence associated with a prepaid Subscription Service, Savant may permit any unused portion of the prepaid subscription term to remain associated with the applicable Savant system and be transferred to the new homeowner in accordance with Savant’s then-current transfer procedures. Prepaid subscription fees will not be refunded solely because of the sale or transfer of a residence.

If a Savant system, controller, or other hardware associated with a prepaid Subscription Service is replaced or upgraded, any unused portion of the prepaid subscription term will remain available for use with the replacement or upgraded Savant system or hardware, provided that the replacement or upgraded system or hardware is eligible for the applicable Subscription Service and remains associated with the same customer account and residence. If the applicable Subscription Service is not compatible with the replacement or upgraded system or hardware, Savant may transfer the unused prepaid term to a substantially equivalent Subscription Service, if available. Except as required by applicable law, replacement or upgrade of a Savant system or hardware does not entitle you to a refund of prepaid subscription fees.

4. Purchases Through Authorized Integrators

Some Subscription Services may be purchased, activated, provisioned, or otherwise established on your behalf by an authorized Savant dealer, integrator, installer, distributor, or other authorized sales or service provider (each, an "Authorized Integrator").

If an Authorized Integrator purchases or establishes a Subscription Service on your behalf:

(a) the Authorized Integrator acts solely as an independent provider of sales, installation, configuration, or support services and is not Savant's agent except to the extent expressly authorized by Savant;

(b) the Authorized Integrator is responsible for accurately identifying the applicable Subscription Service, providing the information necessary to establish your Subscription Service, and provisioning the Subscription Service to the appropriate Savant account;

(c) the Authorized Integrator will direct you to these Subscription Terms, the Terms of Service, and the Privacy Policy before activating your Subscription Service;

(d) your purchase and use of the Subscription Service remains subject to these Subscription Terms regardless of whether the Subscription Service was purchased directly from Savant or through an Authorized Integrator;

(e) Savant may rely upon information and instructions submitted by an Authorized Integrator in connection with establishing or administering your Subscription Service unless Savant has reason to believe such information or instructions are inaccurate or unauthorized;

(f) Savant is not responsible for the products or services separately provided by an Authorized Integrator, including installation, design, programming, consulting, maintenance, customer support, pricing, financing, or any other services that are not expressly provided by Savant;

(g) your Subscription Service remains associated with your Savant customer account and is not owned or controlled by the Authorized Integrator. Removal or replacement of an Authorized Integrator, or removal of your Savant system or account from an Authorized Integrator’s managed organization or account, will not, by itself, cancel, terminate, or prevent renewal of your Subscription Service, provided that the Subscription Service remains associated with your Savant customer account and a valid payment method; and

(h) nothing in these Subscription Terms creates any contractual relationship between Savant and an Authorized Integrator or modifies any separate agreement between Savant and an Authorized Integrator.

5. Automatic Renewal

This Section applies only to Subscription Services that are offered on an automatically renewing basis. Prepaid Subscription Services do not automatically renew unless expressly disclosed at the time of purchase.

Unless otherwise disclosed at the time of purchase, your Subscription Service will automatically renew at the end of each subscription term (for example, monthly or annually) until you cancel it.

By purchasing a Subscription Service that automatically renews, you authorize Savant and its authorized payment processors to automatically charge the payment method associated with your account at the beginning of each renewal term for the then-current subscription price, together with any applicable taxes and fees, unless you cancel your Subscription Service before the renewal date.

Your Subscription Service will renew for successive subscription terms of the same length as your initial subscription term unless Savant notifies you otherwise.

You may cancel your Subscription Service at any time as described in these Subscription Terms. Unless otherwise required by applicable law or expressly stated at the time of purchase, cancellation will take effect at the end of your then-current subscription term, and you will continue to have access to the Subscription Service until that time. Except as expressly provided in these Subscription Terms or required by applicable law, subscription fees are non-refundable.

Savant may change the price of a Subscription Service upon renewal by providing advance notice as required by applicable law. If you do not cancel your Subscription Service before the renewal date following such notice, the renewal will occur at the new price.

Savant may send subscription-related communications, including renewal reminders, billing notices, receipts, and payment-related notices, by email and/or through the Savant application or account associated with your Subscription Service. You are responsible for maintaining current and accurate contact information.

If a renewal payment cannot be successfully processed, Savant or its authorized payment processor may make additional attempts to process the payment during the 21-day period following the first unsuccessful payment attempt. Savant may notify you of the payment issue by email and/or through the Savant application or account associated with your Subscription Service and provide you with an opportunity to update your payment information. Your Subscription Service will remain active during this 21-day grace period. If Savant is unable to successfully process payment by the end of the 21-day grace period, Savant may suspend or terminate your Subscription Service. If payment is successfully processed during the grace period, your Subscription Service will continue without interruption.

6. Fees, Taxes, and Payment Processing

The fees for your Subscription Service will be the price presented to you at the time of purchase, renewal, upgrade, or other applicable transaction, together with any applicable taxes and fees. All prices are stated in U.S. dollars unless otherwise specified.

If Savant is required to collect or remit taxes in connection with your purchase, those taxes will be added to the amount charged to your payment method where required by applicable law.

Subscription payments are processed by Savant or by one or more authorized third-party payment processors. By purchasing a Subscription Service, you authorize Savant and its authorized payment processors to store and use your payment information as necessary to process subscription purchases, renewals, refunds, and other authorized payment transactions in accordance with these Subscription Terms and the applicable payment processor's terms and privacy practices.

You are responsible for maintaining valid and current payment information associated with your account. If your payment method expires, is declined, or otherwise cannot be processed, you authorize Savant and its authorized payment processors to continue attempting to collect amounts due using any updated payment information that may be made available by your financial institution or payment network, where permitted by applicable law. For automatically renewing Subscription Services, failed renewal payments will be subject to the notice, payment retry, and 21-day grace-period process described in Section 5.

If you purchase an additional Subscription Service for the same Savant account or property during an existing subscription term, Savant may align the renewal or expiration dates of your Subscription Services. If Savant aligns renewal or expiration dates, Savant may charge a prorated amount for the additional Subscription Service covering the period until the common renewal or expiration date, as disclosed at the time of purchase.

Except as otherwise provided in these Subscription Terms or required by applicable law, all subscription fees are non-refundable once charged. This includes charges for partially used subscription periods, downgrades during a subscription term, or unused Subscription Services.

If Savant issues a refund, credit, or other adjustment, Savant may determine the amount, method, and timing of the refund or credit unless otherwise required by applicable law. Issuing a refund or credit in one instance does not obligate Savant to provide a refund or credit in any other circumstance.

If you believe you were charged in error, you should contact Savant Customer Support before initiating a chargeback or payment dispute with your financial institution. Nothing in these Subscription Terms limits your legal rights to dispute unauthorized charges under applicable law.

7. Changes to Subscription Plans and Pricing

Savant may modify, add, replace, or discontinue Subscription Services, subscription plans, features, functionality, storage limits, service levels, or other subscription benefits from time to time.

Savant may also change subscription pricing, billing intervals, or other subscription terms. If Savant changes the price or materially changes your Subscription Service, Savant will provide advance notice as required by applicable law. Unless otherwise required by applicable law or expressly stated in Savant's notice, such changes will take effect at the beginning of your next renewal term.

If you do not agree to a change in your Subscription Service or subscription pricing, your sole remedy is to cancel your Subscription Service before the change becomes effective. If you do not cancel before your next renewal, your Subscription Service will renew under the updated terms.

From time to time, Savant may make new features, enhancements, premium functionality, or additional Subscription Services available. Some new features may be included in your existing Subscription Service, while others may require the purchase of a different or upgraded Subscription Service.

Savant may retire or discontinue existing Subscription Services or subscription plans and may offer successor plans with different features, functionality, or pricing. Where reasonably practicable, Savant may allow existing subscribers to continue their current Subscription Service for a period of time or migrate to a successor plan, but Savant is not obligated to continue offering any particular Subscription Service or subscription plan indefinitely.

If Savant permanently discontinues a prepaid Subscription Service before the end of the prepaid subscription term for reasons unrelated to your breach of these Subscription Terms or the Terms of Service, Savant will provide either (a) a prorated refund of the prepaid fees attributable to the unused portion of the Subscription Service, or (b) a substantially equivalent replacement service for the remainder of the prepaid term. Savant may determine which remedy to provide, except to the extent otherwise required by applicable law.

Savant may also make beta, preview, early access, or experimental features ("Beta Features") available as part of a Subscription Service. Beta Features are provided for evaluation purposes, may be modified, suspended, or discontinued at any time, and may contain errors or operate differently than generally available features. Unless otherwise expressly stated by Savant, Beta Features are provided "AS IS" without any additional warranty and may not be supported to the same extent as generally available Subscription Services.

Savant may also make available Subscription Services or features that use artificial intelligence, computer vision, machine learning, generative artificial intelligence, or similar technologies (collectively, “AI Technologies”). Such features may include, for example, video or event detection, search, descriptions, summaries, recommendations, automation, or other functionality. By enabling or using a Subscription Service or feature that utilizes AI Technologies, you direct Savant to use AI Technologies as necessary to provide that Subscription Service or feature to you. Savant does not guarantee that AI Technologies or any content, output, detection, recommendation, description, or other result generated by AI Technologies will be accurate, reliable, complete, uninterrupted, error-free, or available at all times. You should independently evaluate and verify any output generated by AI Technologies before relying on it or taking action based on it.

Nothing in this Section limits any warranties or other rights that cannot be disclaimed or limited under applicable law.

8. Cancellation

You may cancel your Subscription Service at any time through Home Manager, by contacting Savant Customer Support, or through another cancellation method that Savant makes available for your Subscription Service. If you purchased your Subscription Service through an authorized application marketplace or other third-party sales channel, you may also be required to manage or cancel your subscription through that provider. To cancel an automatically renewing Subscription Service, log in to Home Manager and follow the instructions for managing and canceling your Subscription Service, or contact Savant Customer Support using one of the methods described in Section 12.

Unless otherwise stated at the time of purchase or required by applicable law, your cancellation will become effective at the end of your then-current subscription term. You will continue to have access to your Subscription Service until the end of that subscription term, and your Subscription Service will not renew thereafter.

Canceling your Subscription Service does not automatically close your Savant account or affect your ability to use compatible Savant products or services that do not require an active Subscription Service.

If you upgrade, downgrade, or otherwise change your Subscription Service during an active subscription term, the timing and effect of the change, including any applicable charges or credits, will be disclosed at the time you make the change.

If your Subscription Service is canceled because you requested cancellation, your failure to maintain a valid payment method, or your failure to pay applicable subscription fees, you may be required to purchase a new Subscription Service at the then-current price in order to restore subscription benefits.

9. Effect of Cancellation

When your Subscription Service ends for any reason, your right to access and use the applicable Subscription Service and its associated subscription-only features will terminate at the end of your active subscription term unless these Subscription Terms or applicable law provide otherwise.

Cancellation or termination of your Subscription Service does not affect your ownership of compatible Savant products. However, certain products, features, functionality, cloud services, remote access capabilities, video or data storage, automation features, or other services that require an active Subscription Service may no longer be available.

If your Subscription Service includes cloud storage, recordings, backups, or other customer content, Savant may retain, delete, or permanently remove such content in its discretion and has no obligation to retain any such content after your Subscription Service ends, unless required by applicable law. Savant recommends that you download or otherwise preserve any content you wish to retain before your Subscription Service ends. Savant may retain account information, payment records, and other information relating to your Subscription Service as described in the Privacy Policy or as reasonably necessary to comply with legal obligations, resolve disputes, prevent fraud, enforce these Subscription Terms, or protect Savant's legitimate business interests.

If you later purchase a new Subscription Service, Savant does not guarantee that previously deleted content, settings, recordings, preferences, or other subscription-related data can be restored.

Termination of your Subscription Service does not relieve you of any obligation to pay amounts that became due before the effective date of cancellation or termination.

Sections of these Subscription Terms that by their nature should survive cancellation or termination, including provisions relating to payment obligations, intellectual property, disclaimers, limitations of liability, dispute resolution, and any other provisions intended to survive, will remain in effect.

10. Suspension and Termination

Savant may suspend or terminate your Subscription Service immediately, with or without prior notice where reasonably necessary, if:

(a) you violate these Subscription Terms, the Terms of Service, or any other agreement governing your use of the Subscription Service;

(b) Savant is unable to successfully process payment for your Subscription Service after reasonable payment retry attempts;

(c) Savant believes your account, Subscription Service, or use of the Subscription Service is fraudulent, unauthorized, unlawful, or poses a security risk to Savant, its customers, or any third party;

(d) your use of the Subscription Service interferes with or disrupts the operation, security, or integrity of the Subscription Service or related systems;

(e) suspension or termination is necessary to comply with applicable law, a court order, a governmental request, or to protect Savant's legal rights; or

(f) Savant discontinues the applicable Subscription Service.

Savant is not obligated to restore a Subscription Service that has been terminated.

Termination or suspension of your Subscription Service does not limit any other rights or remedies available to Savant under these Subscription Terms, the Terms of Service, or applicable law.

11. Relationship to the Terms of Service

Your purchase and use of a Subscription Service is also subject to the Savant Terms of Service.

These Subscription Terms supplement the Terms of Service and govern matters relating to the purchase, billing, renewal, modification, cancellation, suspension, termination, and other commercial aspects of your Subscription Service.

Except as expressly provided in these Subscription Terms, the Terms of Service govern your access to and use of Savant products, software, applications, websites, and services.

If there is a conflict between these Subscription Terms and the Terms of Service regarding your Subscription Service, these Subscription Terms will control solely with respect to the purchase, billing, renewal, modification, cancellation, suspension, termination, and other commercial terms of the Subscription Service. For the avoidance of doubt, the intellectual property, indemnification, warranty disclaimer, limitation of liability, statute of limitations, governing law, venue, dispute resolution, arbitration, class-action waiver, and jury-trial waiver provisions set forth in the Terms of Service are incorporated into these Subscription Terms by reference as if fully set forth herein and will control in the event of any conflict.

12. Miscellaneous

Changes to These Subscription Terms. Savant may modify these Subscription Terms from time to time by posting an updated version at https://savant.com/business-subscription-terms/ or another website designated by Savant. Any changes will become effective on the date specified in the updated Subscription Terms. Savant may, but is not obligated to, provide notice of changes by email, through the Savant application or account, or by other reasonable means, except where notice is required by applicable law. Your continued access to or use of a Subscription Service after the effective date of the updated Subscription Terms constitutes your acceptance of the revised Subscription Terms, to the extent permitted by applicable law. If you do not agree to the revised Subscription Terms, you must discontinue use of the Subscription Service and may cancel your subscription in accordance with Section 8. Nothing in this provision limits any notice, consent, or other requirements imposed by applicable law.

Subscription Communications. Savant may provide communications relating to your Subscription Service, including purchase confirmations, billing notices, renewal reminders, receipts, payment issues, changes to your Subscription Service, and other subscription-related notices, by email and/or through the Savant application or account associated with your Subscription Service. You are responsible for maintaining current and accurate contact information and for reviewing subscription-related notices made available through your Savant account or application.

Consumer Rights. Nothing in these Subscription Terms is intended to limit any consumer rights or remedies that cannot be waived or limited under applicable law.

No Waiver. Savant's failure to exercise or enforce any right under these Subscription Terms will not constitute a waiver of that right or any other right.

Severability. If any provision of these Subscription Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect to the fullest extent permitted by law.

Entire Agreement. These Subscription Terms, together with the Terms of Service, the Privacy Policy, and any additional terms presented to you at the time of purchase, constitute the complete agreement between you and Savant regarding your Subscription Service.
